Item 7.01. Regulation FD Disclosure.
As stated in a news release issued on February 9, 2018, Guess?, Inc. is investigating allegations of improper conduct against company co-founder Paul Marciano. The investigation will be continued and completed solely by Glaser Weil LLP as independent counsel on behalf of a Special Committee of the Board of Directors.
